These Terms of Service (“Terms”) govern your access to and use of the Somira Health LLC website located at https://somirahealth.com and any related non-clinical services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Services.

  1. About Somira Health LLC
    Somira Health LLC is a non-clinical platform that provides access to independent, licensed healthcare providers and regulated pharmacies through third-party technology partners. Somira Health LLC does not provide medical care, does not make clinical decisions, and does not dispense medications.

    Medical services are provided by independent, licensed healthcare providers. Prescriptions, if issued, are fulfilled by state-licensed or FDA-registered pharmacies. Pharmacy choice is subject to availability and may be changed by the independent providers or fulfillment pharmacy. Somira Health LLC does not establish a provider-patient relationship.
  1. Eligibility
    The Services are intended for use by individuals who are at least 18 years of age and located in the United States. By using the Services, you represent and warrant that you meet these requirements.
  1. No Medical Advice
    The Services do not provide medical advice, diagnosis, or treatment. Any information provided through the Services is for general informational purposes only and should not be relied upon as a substitute for professional medical advice from a licensed healthcare provider.

    In the event of a medical emergency, call 911 or seek immediate medical attention.
  1. Platform Access Fees
    Somira Health LLC may offer platform access to the Services. Platform access fees provide access to platform features, administrative support, and the ability to connect with independent healthcare providers and pharmacies through third-party platforms.

    Platform access fees are charged for non-clinical platform access and administrative services only.
  1. Telehealth Services
    Healthcare services accessed through Somira Health LLC are provided by independent, licensed healthcare providers using telemedicine technology operated by third-party platforms.

    Telemedicine services may include asynchronous (“store-and-forward”) communication, such as secure questionnaires, messaging, or other electronic communications, as determined by the licensed provider. Telehealth services are currently provided through independent provider networks, including Beluga Health and Wasef Health, which serve as providers of record.

    Participation in telemedicine requires informed consent. Telemedicine consent is obtained directly by the licensed healthcare provider through the third-party intake and patient portal prior to receiving care.

    Somira Health LLC does not provide telemedicine services, does not obtain medical consent, and does not participate in clinical encounters.
  1. Health Information and HIPAA
    Somira Health LLC does not collect, store, or maintain Protected Health Information (“PHI”). Health and medical information submitted in connection with healthcare services is collected and maintained by third-party technology platforms on behalf of licensed healthcare providers and pharmacies.

    Those entities are subject to the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and provide their own Notices of Privacy Practices.
  2. User Responsibilities:
      You agree to:
    • Use the Services only for lawful purposes
    • Provide accurate and current information when required
    • Not submit medical or health information directly to Somira Health LLC outside of designated intake and patient portals
    • Not misuse, disrupt, or interfere with the Services

    You are responsible for maintaining the confidentiality of any credentials associated with third-party platforms you access through the Services.
  1. Payments
    Somira Health LLC does not collect or store payment card information directly. Payments related to platform access fees, provider consultations, and prescription fulfillment are processed through third-party payment processors and platforms.

    Certain payments may be subject to a temporary authorization pending provider review, which is released if treatment is not approved.
  2. Third-Party Services
    The Services may include links to or integrations with third-party websites, platforms, or services. Somira Health LLC does not control and is not responsible for the content, policies, or practices of third parties.

  3. Intellectual Property
    All content on the Somira Health LLC website, including text, graphics, logos, and software, is the property of Somira Health LLC or its licensors and is protected by applicable intellectual property laws.
  4. Disclaimers
    The Services are provided on an “as is” and “as available” basis. Somira Health LLC makes no warranties regarding the operation of the Services or the accuracy of information provided.
  5. Limitation of Liability
    To the fullest extent permitted by law, Somira Health LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services.

    Somira Health LLC is not responsible for medical decisions, prescriptions, treatment outcomes, or pharmacy fulfillment.
  6. Indemnification
    You agree to indemnify and hold harmless Somira Health LLC and its owners, officers, and affiliates from any claims arising out of your use of the Services or violation of these Terms.
  7. Termination
    Somira Health LLC may suspend or terminate access to the Services at any time for violation of these Terms or for any lawful reason.
  8. Governing Law
    These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
  9. Arbitration Agreement; Waiver of Jury Trial and Class Actions

    Binding Arbitration:
    To the fullest extent permitted by applicable law, you and Somira Health LLC agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (“Disputes”) through binding individual arbitration, rather than in court, except that you or Somira Health LLC may bring an individual claim in small claims court if it qualifies.

    Arbitration shall be administered by a neutral arbitration provider (such as the American Arbitration Association) under its applicable rules. The arbitration will take place in the State of California unless otherwise agreed.

    Waiver of Jury Trial:
    YOU AND SOMIRA HEALTH LLC EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY in any court proceeding to the fullest extent permitted by law.

    Class Action Waiver:
    YOU AND SOMIRA HEALTH LLC AGREE THAT ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator shall not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding.

    Opt-Out Right:
    You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to Somira Health LLC at the contact address listed below. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

    Severability:
    If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in full force and effect.

  10. California Consumer Notice (Cal. Civ. Code §1789.3)

    Under California Civil Code §1789.3, California users are entitled to the following consumer rights notice:

  11. Changes to These Terms
    Somira Health LLC may update these Terms from time to time. Changes will be effective when posted on this page.
